In the light of some company scandals the Swedish Code of Corporate Governance, the Code, was introduced in the year of 2004 to reinforce confidence in how Swedish listed companies are managed. As many of the other European codes of corporate governance, the Swedish Code is based on the principle of ?comply or explain?. The need for corporate governance regulation arises from the inherent conflict of interest between owners and managers. This conflict is limited in companies controlled by a family in contrast to companies that lack a strong owner.
How Does Board Structure Influence CEO Compensation? - Evidence from Sweden
The purpose of the study is to investigate how board structure influences CEO compensation for companies listed on the Stockholm Stock Exchange in 2004. The theoretical frame of reference is based upon the corporate governance theory, the principal-agent theory and previous empirical research in the area. A cross sectional regression analysis is used, where a number of control variables are included and significance tests are conducted. The study is based on information regarding CEO compensation, and possible factors affecting the compensation, from 267 companies listed on the Stockholm Stock Exchange A- and O-list in the year 2004. We find that the board structure has no significant effect on the CEO compensation.

In 1994 it was decided that a new network based organizational model was to be initiated to face the problems of some of the gender inequalities in Sweden. The organisation structure was named Resource Centre for Women (ResursCentrum för kvinnor).This essay constitutes a qualitative case study of governing, with this organisation structure as my field of inquiry. My ambition has been to outline and explain what kind of governing has been used and how it works. I have also tried to identify potential changes of the ways of governing over time. To help me out with that task, I have applied a theoretical framework, characterized of a governance perspective, and have used terms as: governing with networks, partnership, projects and visionary government to interpret my empiric material.My result shows that there have been various changes in the ways of governing, from a more hierarchal government form of governing to a more governance based one..

Incentive programmes – a corporate governance perspective on Swedish commercial state owned firms
We would like to learn more about how the restrictive policy against incentive programmes affects the board’s of Swedish state owned commercial firms ability to govern management in an efficient way. We also want to find out if there are different consequences in reference to this that are not directly linked to corporate governance issues. Our empiric observations have been made in order to profoundly explore the subject and examine it through the eyes of professional individuals, all expressing different views and standpoints.
We conclude that the most efficient structure is when an active board is complemented by a well structured and individualised incentive programme. However, this thesis conclude that this structure is not possible given the current guidelines and policies employed by the state, which in turn might lead to sub optimizations in the governing..

Myten om Governance En studie av den nyliberala normen och välfärdsstatens förfall
The thesis of this essay is that the concept of governance is a product of the neo-liberal dominant ideology and that the implementation of governance ideas will lead to a weaker nation-state. Using critical theory the essay constructs an ideal type of neo-liberalism and compares its core values with these of the governance concept as treated by the main literature in the area. The essay then focuses on the issue of the state, and discusses whether the changes leading to a demand for governance have actually weakened the state. Furthermore, the essay presents the practical use of the term governance in the EU and Sweden and problemizes the changes that the neo-liberal domination has led to in terms of power and democracy. Finally the essay discusses alternative views on the changing role of the state.

Styrning inom en ideell organisation : Självstyrningens praktik inom Friskis&Svettis
This paper examines the non-profit organization Friskis&Svettis in order to gain insight into whether governmentality is used and if it is being used in what way. Furthermore we analyzed the requirements and consequences that that may have developed out of this Governance structure. To get answers to the questions asked in this paper, a qualitative approach has been taken by the use of interviews with officials at Friskis&Svettis Uppsala. The conclusions drawn from the survey is that there are factors that indicate that governmentality is used within the organization by way of the use of guidelines which can be seen as a technique to control individuals and point them in the desired direction, and the follow-ups that can verify that the guidelines are being followed by the officials. The guidelines and the follow-up have also been an organizational requirement.
International Corporate Governance-A Comparison of the Corporate Governance Systems in Germany and Sweden
The purpose of the study is to investigate how much interest media has shown selected topics in the corporate governance systems in Germany and Sweden. The four selected aspects are: ownership structure, employee representation on the boards, disclosure of board members? compensation and female directors on the boards. The reasons for and consequences of the similarities and differences will also be discussed. The German and Swedish corporate governance systems construct the key basis of the study, emphasised on the four chosen aspects.
Poverty Reduction Strategy Papers och deltagande
The failure of Structural Adjustment Programs and its neoliberal policies to effectively reduce poverty have led to the creation of Poverty Reduction Strategy Paper (PRSP) by The World Bank and International Monetary Fund. PRSP, connected to both the Comprehensive Development Strategy and the HIPC initiative, are built on the notion of national ownership and stakeholder participation and thereby expand potential conditionality to include matters of governance. This thesis examines the evolution of PRSP and how the process of participation affects national Governance structures. By analyzing the role of rules and norms within the World Bank and IMF from a historical point of view the thesis explains why the participation process has developed the way it has. It concludes that neoliberal norms, still at heart within the World Bank and IMF, have an impact on the process of participation within nation states and thereby its Governance structure.

Municipalities must establish budget annually but they are free to decide how the governance should be designed, this can lead to lack of consistency and measurability within and between municipalities. The purpose of this thesis was to present a proposal for a unified and more measurable financial structure of a municipality where this was lacking. In our theory we describe the issues of traditional management control and we introduce an alternative control with non-financial ratios included, called the Balanced Scorecard. In the empirical data it is investigated how the governance of a municipality could be designed, according to the respondents. In the analysis the information gathered to reach the answers to what are considered to be useful governance in municipality, are examined. While digital inclusion is a hot topic in both academia and in policy circles, little research is done when it comes to governance issues. To help filling this gap, this essay asks which mode of governance is dominant in the field of digital inclusion. What aspects of governance "governance" or "government" is the dominant in the field of digital inclusion, and is it possible to see any difference in how the state governance is described by the government and perceived by other actors? To answer this overarching question, two sub queries are formulated and analyzed. First, what aspect of "governance" or "government" dominate when state governance of the area are examined based on how the government describes it? Second, what aspect of "governance" or "government? dominate when state governance are studied based on how the perceived by other actors and stakeholders active in the field.

Purpose: To examine the governance mechanisms and the competence PE-firms adds to theirholding companies through an active ownership in order to create growth.Methodology: A qualitative study with interviews as its main source of data.Theoretical perspectives: Corporate governance and relevant theories within that subjectsuch as agent theory, board of directors and management.
